Recusal protocol — DZC‑PROT‑001 v1.1

A formalised editorial independence framework vis‑à‑vis the KEYSAFE AFRICA group.

1. Protected situation

The Managing Partner of DOUZEROCINQ CONSEILS (Mr. Mark Hadrien EBENE MOUSSOLE) also serves as manager of the Cameroonian group KEYSAFE AFRICA Ltd (RCCM 2022), which has four active verticals: KEYSAFE ENERGY, KEYSAFE TRADE, KEYSAFE WORKS and KEYSAFE CARBON. The latter operates a Verra VCS forestry carbon credit project currently under design on the CVEPB N°0451 concession (Lot 10 Yoko, Mbam and Kim, ~2,200 ha).

Identified risk (R1 — Related interests)

An investor, donor or public authority could legitimately question the firm's objectivity were it to provide carbon strategic advisory to an entity (project sponsor, off‑taker, auditor) holding direct or indirect interests with the KEYSAFE CARBON vertical.

2. Framework — four safeguards

  1. V1 — Strict organisational separation. Carbon strategic advisory is provided exclusively by DOUZEROCINQ CONSEILS (France); project operations are carried exclusively by KEYSAFE CARBON (Cameroon). No deliverable, file or correspondence is exchanged between the two entities outside the formalised client/supplier framework.
  2. V2 — Independent third‑party attestation. The original of the DZC‑PROT‑001 v1.1 protocol is lodged with an OHADA/CCJA firm in Abidjan, which may on request attest to its effective application.
  3. V3 — Systematic public disclosure. Every deliverable, commercial proposal and public document of the firm includes a visible and legible "Related interests" banner (present on this page).
  4. V4 — Client right of recusal. Any client may request substitution of the Managing Partner on their engagement. An orderly handover protocol (handover within 14 days) is in place. Client clauses integrate the option of termination without penalty upon documented failure of the framework.

3. Supervisory controls

  • Semi‑annual review of the protocol by the independent attestor: sample of deliverables, client interviews, verification of disclosures.
  • Conflicts registry kept up to date, accessible to institutional donors on written request.
  • Ethics alert channel — any employee, supplier or client may report a deviation: secure form.
  • Annual public update of this page and of the material elements (shareholding changes, new KEYSAFE verticals, scope evolutions).

4. Access to the full protocol

The full version of the DZC‑PROT‑001 v1.1 protocol (17 pages, annexes included) is made available to institutional donors, institutional investors and supervisory authorities on written request: contact the firm. Eligible requesters receive the signed PDF within 72 working hours, together with the independent attestor's certification.
